Richard C. Schoenstein is a litigation partner at Pryor Cashman LLP. He facilitates the resolution of business disputes through investigation, case assessment, negotiation, mediation and, where necessary, adversary proceedings. Mr. Schoenstein represents clients in arbitrations, individual lawsuits, derivative claims, class actions and multi-district litigation. He is a general commercial litigator with extensive experience in a number of substantive areas, including securities fraud litigation, broker/customer disputes, corporate governance matters, and contract and employment disputes. 

Mr. Schoenstein frequently represents clients in connection with applications for preliminary injunctions or other immediate relief in state and federal courts. He also represents clients in investigations and disciplinary actions by the Securities and Exchange Commission (SEC), state and Federal prosecutors, insurance departments and self-regulatory organizations.

Mr. Schoenstein is well versed in alternative dispute resolution, routinely representing clients in arbitrations, mediations and negotiations. He is also a mediator on the New York County Commercial Division's Panel of Neutrals.  

Representative matters include: 

  • Defense of issuers, directors and/or underwriters in class action securities litigation arising from public filing of allegedly misleading financial information
  • Defense of broker/dealers and financial advisers in arbitrations with customers or former employees;
  • Representation of various clients in matters involving covenants not to compete and/or other issues arising from the termination of employment;
  • Representation of an Audit Committee in an internal investigation, and related matters, relating to stock option backdating
  • Representation of a prominent broker/dealer and investment bank in matters involving auction rate securities
  • Representation of mutual funds in investigations by the New York State Attorney General and the SEC – and in related class action and multidistrict litigation – regarding market timing, late trading and other mutual fund sales issues
  • Defense of broker/dealer in connection with multidistrict litigation arising from sales of limited partnerships
  • Representation of private developer in litigation arising from the acquisition of a ski resort and related land in Park City, Utah
  • Representation of energy supplier in expedited proceedings in federal court to enjoin a local utility
  • Representation of national bank in litigation to enforce and collect on loan agreements
  • Representation of insurance companies in domestic and international reinsurance disputes
  • Matters concerning investment banks’ entitlement to break-up fees and success-based compensation
  • Matters involving closely-held corporations in “family” disputes

Mr. Schoenstein received his J.D. from the Hofstra University School of Law, where he graduated second in his class, and was managing editor of the Hofstra Law Review. He received his undergraduate degree from The Ohio State University.
