Sean Connery represents corporate trust companies and the corporate trust departments of major banking institutions. He has represented corporate trust clients in a wide range of front-end transactions including corporate and municipal debt issuances, project finance, structured finance, loan facilities, secured and asset-backed lending, custodial agreements and various types of agency appointments. Sean’s experience also includes representing corporate trust clients in their capacity as indenture trustee or agent in connection with bond and loan default scenarios and complex chapter 11 and 7 bankruptcy proceedings. 

Sean has also developed an expertise in advising trustees in connection with various issues arising under collateralized debt obligations, financial derivatives and structured finance transactions as a result of the recent financial crisis.  Sean’s specific representations in this area include advising trustees with respect to:

  • Enforcing repurchase obligations of originators, depositors and sellers of mortgage loans in mortgage-backed securitizations
  • Document requests and litigation threats by investors of mortgage-backed securitizations
  • The implications of the bankruptcy filings of a major investment bank and its related entities in connection with collateralized debt obligations, mortgage-backed securities and financial derivatives (including interest rate swaps and credit default swaps)
  • Filing proofs of claim and protecting the rights of certificate holders of mortgage-backed securitizations and collateralized debt obligations in which bankrupt entities owe potential obligations to holders, including obtaining bankruptcy court approval of settlement protocol amounts relating to an originator’s repurchase obligations to a mortgage-backed securitization trust 
  • The implications of a counterparty’s bankruptcy on financial derivatives (including interest rate swaps and credit default swaps) and any obligations of a trustee that may arise in relation thereto
  • In connection with the wind-up and termination of collateralized debt obligations involving multiple insolvent entities (and their associated SIPA and Chapter 11 constituencies), domestic and foreign beneficial owners and the simultaneous resolution of transaction and bankruptcy issues arising under complex transaction documentation including trust agreements, indentures, market agent agreements and credit default swaps

Sean is a 2005 cum laude graduate of St. John’s University School of Law, where he was a St. Thomas More Scholar. He graduated cum laude with a B.S. from Wagner College in 2002, where he was an Oppenheimer Scholar.
