
Bill has extensive transactional experience and has advised clients about structuring deals and on all aspects of financing relating to mergers and acquisitions, management buyouts, highly leveraged buyouts, restructurings, REITS, ESOP transactions, public offerings, private placements of debt, factoring, working capital and growth needs. Bill actively represents both lenders and borrowers in asset-based loans, mezzanine financings, middle market lending, syndicated lending and construction lending. Bill is also skilled in the creation and perfection of security interests in a wide variety of tangible and intangible collateral located in multiple jurisdictions. In addition to his work in the U.S., Bill, as a Canadian lawyer, also has expertise in Canadian security interest and perfection issues.

Bill received his LL.M. from Georgetown University Law Center in 1986 and his LL.B. from the University of Manitoba in 1984, where he was the recipient of the C. Harvey Administrative Law Award and the Book Review Editor for the Manitoba Law Journal from 1982-84. Bill was also the Chairman of the Faculty of Law Debating Association (1981-84) and placed in the top five at the McGoun Cup Western Canadian University Debating Championship in 1981. Bill acted as a Student Counselor for the Legal Aid Society of Manitoba from 1982-84.
