Thomas J. Malmud's practice is concentrated in the area of real estate development including acquisition, construction and financing of major commercial, residential and mixed use projects in New York and New Jersey (as well as in Connecticut, Massachusetts and the District of Columbia), joint venture work, ground leasing and loan workouts. Recent transactions include the acquisition, construction financing and submission to condominium regimes of two mixed use commercial and residential projects in the Soho area of New York. Representative matters include:
- Representation of numerous developers in acquisition and financing of commercial and residential properties, including obtaining acquisition, construction and permanent financing (fee, leasehold and mezzanine) for office and residential buildings, residential and commercial condominiums, and commercial projects, including shopping centers, in New York and out of state
- Representation of developer of hotel on Lafayette Street in Soho, including negotiation of $200 million construction loan, hotel management agreement and terms of the surrender agreement with tenant with long term lease
- Preparation of architectural and construction contracts for office, residential, condominium and commercial projects
- Preparation of joint venture, partnership and operating agreements for developers and investors in office, residential, condominium and commercial projects
- Representation of client in restructuring of $200 million luxury condominium project in New York City by modifying deal structure to permit infusion of equity and new loan facility accompanied by modification of existing mezzanine loan and construction loan
- Representation of client in restructuring of luxury townhouse/condominium project on Long Island under which senior acquisition loan and mezzanine loan were modified
- Representation of well known New York developer whose loan workout involved two office buildings, a cooperative apartment building, a small residential building, numerous lenders and the United States Government, with the workout including a Chapter 11 filing and a confirmed plan
