Pryor Cashman’s Normandin Authors Legal Update On SEC’s Observations On Executive Compensation Disclosure

The Securities and Exchange Commission (SEC) recently provided observations and guidance on executive compensation disclosures by public companies. These observations are based on the SEC’s review of proxy statements and annual reports two years after extensive revisions were made to executive compensation disclosure rules. Public companies should carefully consider this additional guidance when preparing executive compensation disclosures during the upcoming proxy season.
