Pryor Cashman's Campoli Authors Legal Update on Delaware Legislature's Adoption of Amendments to Delaware General Corporation Law Regarding Proxy Access

Effective August 1, 2009, the Delaware General Corporation Law will be amended to address stockholder proxy access and expense reimbursement for director elections, establishment of dual record dates for stockholder meetings, indemnification and expense advancement rights, and the judicial removal of directors.
