Pryor Cashman Partner Goodman To Speak At ACI Conference on Structuring, Negotiating and Managing Pharma/Biotech Collaborative Agreements

On Wednesday, November 18, 2009, Pryor Cashman partner Stephen M. Goodman will be part of a panel discussing the creation and implementation of Critical termination provisions in Pharma/Biotech Collaborative Agreements.

The panel discussion will take place at the American Conference Institute’s 13th Advanced Forum on "Structuring, Negotiating and Managing Pharma/Biotech Collaborative Agreements – Allocating Rights, Responsibilities & Rewards in Licensing, Strategic Alliances and Partnering Deals," which takes place on November 17 and 18, 2009 at the Helmsley Park Lane Hotel in New York City.

Goodman’s panel will discuss, among other things:

  • Understanding what critical elements must be included in the agreement in regards to the current economy
  • Ensuring both parties retain some value to the product at the end of the day
  • Clearly defining the circumstances that warrant termination
  • Drafting unwind provisions to ensure a smooth transition
  • Determining the effects of termination on existing sublicenses
  • Strategies for enforcing cooperation in the event of termination
  • Looking at how the right termination provisions impacted real deals
