“Going Dark” – Process and Considerations

Due to current market factors, many public companies are considering “going dark” (i.e., voluntarily delisting their shares from a national securities exchange or inter-dealer quotation system and deregistering such shares from the Securities Exchange Act) as an alternative to continuing to provide current public information with the Securities and Exchange Commission.  Pryor Cashman Partner Selig D.
