Pryor Cashman’s Corporate Group includes a select group of experienced attorneys who specialize in representing the corporate trust departments of banks and financial institutions acting as trustees and/or agents in a variety of domestic and international financings. These range from corporate and municipal debt issuances to asset and security-backed financings.

Our clients engage us for advice involving their roles as indenture trustee, successor trustee, paying agent, escrow agent, owner trustee, registrar and transfer agent, investment agent, collateral agent, document custodian (as well as other custody roles), voting trustee, dissemination agent, tender agent, fiscal agent and independent director or manager for SPVs. We also advise our clients on issues in establishing and maintaining Delaware statutory trusts, common law trusts, liquidating trusts, insurance trusts and master trusts.

Our corporate trust attorneys, in addition to having extensive expertise in all facets of standard corporate trust transactions, offer many years of experience working on novel types of project finance transactions, including those involving issuers in Latin America and Asia, where highly unique situations may arise. We also serve clients in default administration and bankruptcy matters and have represented indenture trustees in many prominent Chapter 11 cases.
