Pryor Cashman’s Entertainment and Film Production Financing Group is comprised of attorneys from the firm’s Entertainment, Media and Communications Group and Banking and Finance Group who are recognized experts in their fields. When necessary, attorneys from our Corporate, Tax and ERISA groups frequently participate in such transactions. Our attorneys represent both borrowers and lenders in the industry in numerous entertainment and film production financing transactions every year.

In the area of film production financing, Pryor Cashman counsels clients and is responsible for negotiating and documenting a wide variety of financing transactions. In addition to dealing with general corporate financing for motion picture companies, we have also guided our clients through:

  • Asset securitizations
  • Bridge loan financing
  • Complex international financing deals
  • Discounting, tax credits and other forms of governmental tax subsidies and incentives
  • Financing film production – single picture and “slate” deals
  • Loans for film library acquisitions
  • Print and advertising (P&A) fund deals

Our firm’s expertise in the area of entertainment and film production financing allows us to skillfully represent both borrowers and lenders. Our borrower clients have included, among others, film production companies and film libraries. On the lending side, we have represented a variety of banks (including banks acting as administrative agents for syndicates of lenders), private investors and hedge funds.

Increasingly, Pryor Cashman’s clients have participated in motion picture financing on projects produced and financed outside the U.S. and we have been there to guide and counsel our clients through such financings, including those which have taken place in Australia, Canada, France, Germany, New Zealand and the United Kingdom.

We also have experience in motion picture financing in Latin America, including in Brazil and Colombia. We recently represented equity participants and strategic partners in The Latin American Film Fund, a joint venture with The Weinstein Company created to produce and distribute films set in or about Latin America.

In addition to our wide-ranging experience and achievements in entertainment and film production financing, our firm offers clients access and familiarity with capital markets. Our representation of banks, investment banks, hedge funds, film funds and high net-worth individuals, on the one hand, and studios, production companies, distribution companies and producers, on the other, provides the firm a multifaceted perspective on the motion picture business, and, with that, the advantage of a superior view of the motion picture and entertainment industry. This advantage gives Pryor Cashman a leading role in the industry which permits the firm to identify and to shape new trends in the business.
