Pryor Cashman Partner Stephen M. Goodman spoke at the Founding a Life Sciences Company: Legal and Accounting Aspects of Starting a Business seminar, held on Thursday, December 8, 2011 at Columbia University’s Morningside Campus, Uris Hall, Hepburn Lounge.

The seminar covered two basic topics:

  • issues relating to the formation of the company (choice of entity, allocating the rights of equity owners and negotiating agreements among equity owners) and
  • issues having to do with raising the initial capital (information requirements, accounting issues and projections, restrictions on private offerings and negotiations between owners and investors on valuations).
