Kimberly Rubin is a member of Pryor Cashman’s Corporate and Mergers + Acquisitions (M+A) Groups, where she counsels clients on a broad spectrum of corporate and business matters, including corporate governance, mergers and acquisitions, equity and debt financing transactions, and other complex commercial ventures.

Kimberly regularly advises both private and public companies in connection with acquisitions and dispositions of securities and assets. Her transactional experience spans buy-side and sell-side representations across industries, encompassing asset acquisitions, stock purchases, private equity roll-up transactions, and cross-border mergers.

In addition to her M&A practice, Kimberly maintains a broad corporate transactional practice. She advises clients on entity formation and organizational structuring, the preparation of governing and operational documents, and venture capital and other financing transactions.

Recent transactions include:

  • WHP Global in its acquisition of the intellectual property of the VERA WANG fashion brand.
  • Strata Critical Medical, Inc. in its acquisition of Keystone Perfusion Services LLC.
  • Spring Mountain Capital in its sale of more than US$1 billion in assets under management to Stifel Financial Corp.
  • Sphere 3D Corp. in its business combination with Cathedra Bitcoin Inc.
