We negotiate capital financings, private placements and bridge financings, private investments in public equity (PIPE), and exchange offers.

With deep experience advising emerging and middle-market companies, we are well positioned to offer guidance to investors and lenders who are evaluating business plans and investigating new companies, markets, and ventures.

We counsel startups and other early-stage companies on leveraging alternative funding sources and platforms, including advising them on the regulatory implications of using email campaigns, online advertising, sweepstakes, social media, and direct marketing to solicit funds. We also advise our clients on the use of crowdfunding, which has become a significant and effective way for startups and emerging companies to raise capital.

For companies ready to go public, we negotiate underwriting agreements, prepare registration statements, and file listing applications with the applicable stock exchanges. We also represent emerging companies that trade over the counter or on the NASDAQ small cap market.
