Pryor Cashman Closes Acquisition of Video Chat Provider Camfrog by Paltalk

Pryor Cashman client A.V.M. Software Inc./Paltalk, the leading real-time, video-based community with more than 4 million active members, announced on October 20, 2010 its acquisition of substantially all of the assets and business of Camshare LC and its affiliates. 

The assets and businesses acquired by Paltalk included Camfrog, a widely recognized video chat platform, and  videoconference.com, which provides flash based videoconferencing technology. 

Pryor Cashman, utilizing its expertise in software-based intellectual property M&A transactions, acted as legal counsel to Paltalk. The Pryor Cashman team was comprised of members of the firm’s Tax and Corporate Groups including Partners Rich Frazer, Jeff Johnson and Eric Woldenberg, and associates David Parsly and Durre Hanif.
