Partner Edward Rayner Profiled in Biz Now
Partner Edward Rayner, Chair of Pryor Cashman’s Executive Compensation, ERISA and Employee Benefits Group, was profiled by Biz Now in its November 5, 2010 issue.
The article, entitled “Exec Comp & Cash Man,” states:
“Ever wonder what happens to the valedictorian, or whatever the word is for #1 at the best tax LLM program in the country? Though he’s occasionally mistaken for a GQ model (we confess, it was our mistake), NYU grad Ed Rayner continues to earn high marks, most recently as the newly anointed chair of Pryor Cashman’s exec comp, ERISA, and employee benefits group. Ed tells us he joined the firm from Katten in September after continuing a years old conversation with managing partner Ron Shechtman. He specializes in employment and parachute arrangements (some have cleared hundred of millions), compensation arrangements, and in repping senior management involved in deals as well as financial institutions engaging in transactions with ERISA plans.
Big name clients include the CEO of Ellen Tracy, a former GC of a NFL team, and a former senior exec in the NBA. He says one of the key things he’s learned while drafting 10-20 page exec comp contracts is the importance of negotiating without creating bad will. Don’t make the negotiation a win-lose, it should be more about vocalizing concerns. What does he see as the state of the market? Exec comp contracts were very rich in 2006, but companies aren’t nearly as generous these days and fewer executives are on the move. Though in just the last few days, he repped the COO of a large international mining company, the president of a publicly traded internet company, a mobile advertising exec, and the CFO of a large grocery chain. When Ed’s not working, he likes to challenge his eight-year old daughter to navigate the world’s largest obstacle course in Wipeout on the Nintendo Wii.”
