Pryor Cashman Acts as Underwriter’s Counsel in Initial Public Offering
Pryor Cashman served as underwriter’s counsel in the initial public offering (IPO) of American Depositary Shares (ADSs) by Ossen Innovation Co., Ltd. (NasdaqGM: OSN), which closed on December 23, 2010.
In the IPO, Ossen raised gross proceeds of $22.5 million through the sale of five million ADSs at a price of $4.50 per ADS.
Ossen is a leading China-based manufacturer and seller of an array of plain surface prestressed steel materials and rare-earth and zinc coated prestressed steel materials used in the construction of bridges, highways and other infrastructure projects in the PRC and internationally.
Global Hunter Securities, LLC and Knight Capital Markets LLC acted as joint book-running managers for the offering.
Counsel Michael T. Campoli, a member of Pryor Cashman’s Corporate Group and China Practice, along with associate Jill Braibanti and attorney Ying Cao, represented the underwriter in the transaction.
