Partner Bertrand Fry Speaks to Hedge Fund Law Report Regarding Strategies For Preventing Disclosure of Confidential Hedge Fund Data Under State Sunshine Laws

Partner Bertrand Fry, Co-Chair of Pryor Cashman’s Investment Management Group, was recently interviewed by The Hedge Fund Law Report for its article “Ten Strategies for Preventing Disclosure of Confidential Hedge Fund Data under State Sunshine Laws.”

In the article, Fry addresses sunshine laws generally, discusses the information typically required to be disclosed pursuant to sunshine laws, and comments on carve-outs from disclosure requirements.

The article sets forth ten strategies for preventing disclosure of confidential hedge fund data under state sunshine laws. Fry addressed several of these in his interview, including the strategies of:

  • Refusing to grant exceptions from confidentiality provisions contained in fund governing documents
  • Negotiating side letters to track language in state sunshine laws
  • Negotiating to not provide government plan investors with certain fund information
  • Requiring the state plan to reasonably cooperate with the hedge fund manager to preserve the confidentiality of information sought to be disclosed
