Eric represents public and private companies from the U.S. and abroad in startup, early-stage and other venture capital financings, crowdfunding, private placements and bridge financings, mergers and acquisitions, exchange offers, strategic alliances, and joint venture formations.

His clients include corporations with interests in China as well as China-based companies doing business in the U.S. Eric helps clients pursue business development strategies that drive market expansion of goods, services, and technologies.

Serving as corporate counsel, Eric offers practical business planning and counseling services that enhance his clients’ management of their day-to-day operations. He advises on technology licensing, executive compensation and employment contracts, confidentiality and non-competition agreements, transitional planning, corporate governance, shareholder and partnership arrangements, and banking and investor relations.

Companies from a variety of industries rely on Eric’s advice to guide them at every stage of their growth. He represents a diverse group of clients, from an edible chopsticks manufacturer to a biotechnology startup, to an internet television company offering programming targeted to the China market.

Experienced Securities Law Representation

Domestic and international public companies seek Eric’s counsel on a variety of issues related to federal and state securities laws. His deep understanding of the financial markets and securities issues enables him to guide clients on their interactions with analysts and the press. He regularly handles compliance with U.S. Securities and Exchange Commission (SEC) periodic reporting and proxy requirements, Section 16 reporting (short-swing profits), and Rule 144 sales. Eric helps clients navigate the rules and regulations of the New York Stock Exchange (NYSE) and the National Association of Securities Dealers Automated Quotations (NASDAQ).

Eric represents multiple issuers, selling stockholders, and underwriters in connection with public debt and equity financings, including initial public offerings, secondary offerings, and shelf registrations. He also assists China-based companies in accessing U.S. capital markets.

A Veteran of Complex Mergers and Acquisitions

Known for his ability to guide purchasers and sellers through the M&A process, Eric is sought after by public and private businesses, especially those with middle-market deals under $500 million. He has closed acquisitions and sales for clients in many industries, including energy, technology, information services, mining, pharmaceutical, consulting, and financial services. Accomplished in transactions using secured and unsecured debt, as well as public and private equity securities, Eric advises on tax, corporate, and securities issues and managing reporting requirements.

Experienced in Corporate Trust Transactions

Eric’s background also includes more than 20 years of representing corporate trust departments of major banks in transactions involving corporate and municipal debt, secured and unsecured commercial paper, escrow arrangements asset-based financings, and agency agreements.
