Counsel Michael T. Campoli, a member of Pryor Cashman’s Corporate and Investment Management Groups, was a speaker on the Knowledge Congress webcast, “Finance Options in 2014: IPOs, Crowd Funding, M&A,” which was webcast live on August 21, 2014.
Campoli and his fellow panelists provided an overview of the SEC’s equity crowdfunding proposal and discussed the current status of rulemaking in that area. The panel also discussed recent amendments and proposals that impact offerings conducted pursuant to Rule 506 of Regulation D, with an emphasis on the use of general solicitation in Rule 506(c) offerings, the impact of new Rule 506(c) on existing Regulation D practices, and the impact of being a “bad actor”.
