SEC’s Rule 506(c): What Lies Ahead in 2015 and Beyond?
Counsel Michael T. Campoli, a member of Pryor Cashman’s Corporate and Investment Management Groups, will be a speaker at the upcoming Knowledge Congress webcast, “SEC’s Rule 506(c): What Lies Ahead in 2015 and Beyond?,” to be webcast live on September 8, 2015 from 3:00 pm – 5:00 pm (ET).
Campoli and his fellow panelists will provide an overview of Rule 506(c) of Regulation D under the Securities Act, which permits issuers to utilize general solicitation in connection with the offering of their securities as long as certain conditions are met. The panel will also discuss some of the changes that have occurred in the private placement marketplace that impact the use of Rule 506(c), as well as additional changes that may result from future SEC rulemaking.
