Pryor Cashman Represents National Holdings Corp in Warrant Dividend and NASDAQ Listing

Pryor Cashman represented National Holdings Corporation (NASDAQ: NHLD) in a recent distribution of a dividend of warrants to purchase shares of the common stock of National Holdings, and the listing of such warrants on the Nasdaq Capital Market.

The process of declaring the dividend, distributing the warrants to the common stockholders of National Holdings, listing the warrants for trading on the Nasdaq Capital Market and registering the warrants with the Securities and Exchange Commission was a complex transaction requiring coordination with the SEC, Nasdaq’s market operations and listing qualifications groups and the warrant agent.

The warrants began trading on the Nasdaq Capital Market under the symbol “NHLDW” on January 18, 2017. The issuance of the warrants and the underlying shares of common stock were registered on a registration statement on Form S-1 that was declared effective by the SEC on January 13, 2017.
