“Going Dark” – Process and Considerations

Due to current market factors, many public companies are considering “going dark” (i.e., voluntarily delisting their shares from a national securities exchange or inter-dealer quotation system and deregistering such shares from the Securities Exchange Act) as an alternative to continuing to provide current public information with the Securities and Exchange Commission.
