Rule 506 and Rule 144A Offerings: SEC Proposes Rules Effecting the JOBS Act’s Elimination of the General Solicitation Ban in Private Offerings

On August 29, 2012, the Securities and Exchange Commission proposed rules that would permit general solicitation in certain offerings of securities conducted pursuant to both Rule 506 of Regulation D under the Securities Act, and Rule 144A under the Securities Act.
