Brian Dunlay is a member of Pryor Cashman’s Corporate Group, where his practice focuses on a range of corporate and business matters including corporate governance, mergers and acquisitions, corporate securities, and equity and debt financing transactions.
Brian has experience in assisting private and public companies with acquisitions and dispositions of securities and assets. He also has experience forming business entities and drafting governing and operational documents for corporate and limited liability entities, as well working with larger corporations to conduct internal reorganizations.
Brian counsels clients on U.S. federal and State securities compliance, advising public companies on corporate governance matters under NYSE, NASDAQ, and NYSE American listing standards, general securities law compliance, 1934 Act reporting, and assisting issuer and underwriter clients in public offerings and private placements.
He was recently named to the Super Lawyers – New York Metro “Rising Stars” list for Securities + Corporate Finance (2025).
