Danilo is a member of Pryor Cashman’s Corporate Group, advising clients regarding securities law compliance, capital markets transactions, and corporate governance.
Drawing upon his experience as a staff attorney at the Division of Corporation Finance of the U.S. Securities and Exchange Commission (SEC), Danilo regularly counsels public and private companies across various industries and underwriters on matters concerning the federal securities laws and corporate governance, including periodic reporting and disclosure requirements under the Securities Exchange Act of 1934 and in public and private capital market transactions.
While at the SEC, Danilo reviewed transactions including securities offerings and public merger transactions, as well as periodic reports and proxy statements. He also served as a member of the Rule 14a-8 Shareholder Proposals Task Force, where he reviewed and advised on no-action requests submitted by public companies to exclude shareholder proposals from their proxy materials.
