Pryor Cashman Represents Faith & Family Entertainment Subscription Service in Sony Acquisition

Sony Pictures Entertainment announced the purchase through its subsidiary AFFIRM Entertainment, Inc. of substantially all of the assets of God’s Not Dead Foundation d/b/a Pure Flix, a faith-based subscription video service that airs faith-based and family-friendly movies, series, documentaries, webcasts, and educational programming. Pure Flix was formed by those responsible for the “God’s Not Dead” film franchise. Pryor Cashman represented Pure Flix in the negotiation of the asset purchase agreement, which is subject to customary regulatory approvals and closing conditions.  Pure Flix executives will remain at the helm of the group and lead collaborative efforts for the development and production of future programming for the service.

The transaction was led by the corporate team of partner John Crowe, counsel Francesca Djerejian, and Maraiya Hakeem. The team was supported by partner Karen Robson (Media + Entertainment), partner Jeffrey Johnson (Intellectual Property), partner Michael Dunworth (Tax), counsel Matthew Young (Executive Compensation and ERISA), and Taylor Weinstein (Tax).
