Francesca advises hotel owners, developers, private equity firms, investors, and hotel management companies in connection with sophisticated hospitality transactions. Her practice focuses on the negotiation and structuring of hotel management, branded residential, restaurant, licensing, technical services, development, and joint venture agreements for luxury, lifestyle, and mixed-use hospitality projects. She regularly represents both owners and operators in complex negotiations involving hotel branding, management rights, operational governance, food and beverage concepts, and strategic collaborations, drawing on a deep understanding of the commercial and operational dynamics unique to the hotel and restaurant industries.

Francesca also maintains a broad corporate transactional practice and advises clients across a wide range of industries. She represents public and private companies, investors, founders, and family-owned businesses in mergers and acquisitions, financings, corporate restructurings, and other strategic business transactions. She also advises on complex ownership and corporate governance arrangements, joint ventures and operating agreements, and specialized commercial matters.

Recent transactions include:

• Palmer Square Real Estate Management in connection with the negotiation of a restaurant management agreement for a new Italian dining concept by Nicholas Stefanelli at Current Landing, a major riverfront development adjacent to CPKC Stadium in Kansas City.
• Pure Flix Entertainment in the sale of its subscription streaming video service to Sony Pictures’ subsidiary AFFIRM Entertainment, Inc.
• WE Transport, Inc., the school bus operations company, in its acquisition by Beacon Mobility.
• Eden Roc, LLLP in its negotiations with Davidson Hotel Company LLC d/b/a Pivot Hotels & Resorts in connection with a management transition for the Eden Roc Miami Beach and Nobu Hotel at Eden Roc.

Academic Achievements

Francesca is a 2012 graduate of Fordham University School of Law, where she was the Notes and Articles Editor of the Fordham Journal of Corporate & Financial Law and a recipient of the Archibald R. Murray Public Service Award for her involvement in the Criminal Defense Clinic.
