Pryor Cashman Plays Major Role in Sale of Junior Gallery, Ltd. to David Peyser Sportswear, Inc.
Pryor Cashman LLP represented Marketing Management Group, as Receiver for Junior Gallery Ltd., in connection with the sale by Junior Gallery of substantially all of its assets to David Peyser Sportswear, Inc., parent of Weatherproof and MV Sport. Junior Gallery is a leading designer and wholesaler of branded women’s coats and outerwear. The transaction closed on March 1, 2012.
Utilizing attorneys from its many different Practice Groups, Pryor Cashman represented the Receiver in all aspects of his responsibilities, from drafting and negotiating the Asset Purchase Agreement and all collateral documents to obtaining Court approval of the sale.
Following the transaction, Pryor Cashman is working with its client to wind down Junior Gallery’s operations, which includes the sale of a warehouse in New Jersey owned by a related entity.
