Robert M. Friedman is a member of Pryor Cashman’s Corporate Group, representing clients in the formation of private investment funds in venture capital, growth, buyout, mezzanine, infrastructure, secondary investment, special opportunities, real estate, hedge, debt, and art asset classes in the United States, France, Germany, India, Israel, Japan, Poland, and the United Kingdom.
Clients rely on Robert to advise on complex corporate transactions, including M+A, public and private securities offerings, leveraged buyouts, recapitalizations, debt financings and venture capital investments.
Fund Formation
Robert’s work in fund formation includes:
- Drafting documents related to U.S. and non-U.S. private investment funds of all sizes, including private placement memoranda, limited partnership agreements, subscription agreements, and placement agent agreements.
- Structuring private investment funds and advising on legal and business matters for investors in private investment fund formation, including Securities Act, Investment Company Act, Investment Advisers Act, ERISA, and tax issues.
Investment Managers
Investment managers and general partners of private investment funds come to Robert for his deep experience in:
- Drafting and negotiating governing documents, providing counsel on internal governance, and economic/compensation issues.
- Creating employment, consulting, and termination agreements for senior professionals.

Robert’s work in mergers and acquisitions includes:
- The purchase and sale of companies up to $1 billion.
- A wide range of M+A services, including drafting and negotiating:
